Service Agreement

This agreement made and entered into this day of ,2008 by and between (The Contractor) and MC-Reports for and in consideration of their mutual covenants, the parties agree as follows:

1. Merchandiser Connection may from time to time engage the contractor on a job–to-job basis to provide product services for our clients for such considerations the parties shall mutually agree and at such time and place as shall be required by Merchandiser Connection. The Contractor shall be free to excise his/her own judgment as to the manner of his/her job performance.

2. It is expressly understood and agreed that The Contractor is not for any purpose an employee or agent of Merchandiser Connection, but is solely an independent contractor. The Contractor shall furnish all required transportation to and from the job site, all equipment, tools or utensils. The Contractor shall be free to take engagements from other similar companies.

3. The Contractor will not be eligible for unemployment compensation through Merchandiser Connection. The Contractor agrees to pay timely applicable taxes on funds received by him/ her from Merchandiser Connection, including but not limited to Federal income taxes and self employment taxes, and The Contractor agrees to hold Merchandiser Connection harmless and to indemnify it from any liability or damage of any kind whatsoever, including attorney fees, arising from The Contractor’s failure to timely and fully pay any such tax or to comply with the terms of this Agreement.

4. The Contractor acknowledges that he/she has no authority to assume or create any obligations, liabilities on behalf of Merchandiser Connection or to bind Merchandiser Connection in any manner whatsoever.

5. The Contractor shall provide, at contractor’s own expense, workers’ compensation insurance coverage for Contractor performing any services called for under this Agreement.

6. The Contractor agrees that falsifying paperwork for any assignment is grounds for non payment or reduced payment to pay for corrections of assignment.

  • YOU ARE AN INDEPENDENT CONTRACTOR - YOU ARE YOUR OWN BOSS
  • YOU CAN ACCEPT OR DENY ANY JOB OFFERED TO YOU BY MERCHANDISER CONNECTION.
  • THE AMOUNT OF WORK OFFERED TO YOU IS NOT GUARANTEED.
  • YOU ARE NOT BOUND EXCLUSIVELY TO MERCHANDISER CONNECTION.
  • YOU ARE RESPONSIBLE FOR YOUR OWN TAX PAYMENTS. IF YOU RECEIVE $600.00 OR MORE IN A YEAR FROM MERCHANDISER CONNECTION, YOU WILL RECEIVE A 1099 STATEMENT FOR YOUR TAX PURPOSES. IF YOU RECEIVE LESS THAN $600.00 IN A YEAR, MERCHANDISER CONNECTION IS NOT REQUIRED TO REPORT IT TO THE IRS.
  • YOU DO NOT QUALIFY FOR ANY EMPLOYEE BENEFITS INCLUDING UNEMPLOYMENT INSURANCE.

PREFERED DRESS and WORK ETHICS

Always be professional

1. Tactful and Pleasant – Always maintain a positive, professional working rapport with all store personnel. Be tactful at all times.

2. Always maintain a neat and clean appearance. Appropriate professional attire chosen to fit the task should be worn at all times. This includes a collared shirt, clean and neat pants, and closed-toed shoes. Cutoff or ripped jeans, tee shirts with wording or pictures, halter or tank tops, flip-flops or sandals are considered inappropriate at any work site. Torn tattered or dirty clothing is never acceptable.

  • Perform each visit according to Merchandiser Connection Client’s directives.
  • In order to meet the requirements of our clients’ contracts, it is important that all projects are completed and reported on time. All projects will include a date the projects must be completed and reported by. We are required to meet these dates. Calls not completed and reported on time are a violation of our contract. Therefore it is important that if you have problems maintaining your schedule, contact this office immediately. Failure to do so will result in you not being offered projects in the future.
  • Merchandiser Connection issues and mails checks for services performed directly to the contractor’s address stated in this contract, unless a change of personal information has been submitted in writing. All contractors will be paid bi-weekly unless otherwise agreed upon in writing. All checks issued will be honored for 90 days of date written.
  • Required, and accurate reports- The physical merchandising part of the project isn’t the only part of the job you are responsible for; your job is not completed until you have reported your information daily. Our clients have access 24/7 to our on line reporting, so your timely response is extremely important.

UNACCEPTABLE BEHAVIOR INCLUDES BUT NOT LIMITED TO:

  • Unplanned absences from a project that you contracted to perform are sometimes unavoidable. If you cannot show up for work, it is your responsibility to contact your Account Manager or this office immediately, so we can replace you.
  • Possessing, or using, alcohol, or illegal drugs at work is strictly prohibited.
  • Leaving before your scheduled time or abusing break and meal times (too many personal breaks for smoking, or talking on your cell phone).
  • Any uncooperative attitude or unprofessional behavior towards our clients, store personnel, team members, or this office.
  • Falsifying paperwork for personal gain.

Remember that your actions and attitude reflect on our client and store images. Within the stores, and in all your contact with store personnel, you must conduct yourself in an exemplary way. This includes treatment and language of people, including team members, customers and store employees.

Under penalties of perjury:
1. The number shown on this agreement is my correct taxpayer identification number, and
2. I am not subject to backup withholding due to failure to report interest and dividend income, and
3. I am a U.S. person

If you would like to be listed on our website "Merchandiser Connection" for other companies to view your name, contact information, and experience for any jobs available in your area, please register as a Merchandiser using the link provided in the main menu.

Some clients require your time to be entered on our website reporting on the same day as your visit. For these clients you must enter your report before 7:00 A.M. the day after your visit. This information is vital to our clients.

In order to maintain a good reputation, we do require our merchandisers to adhere to a dress code when representing our company and our clients.

Dress Code…..

All clothing must be neat and clean.

We ask that any shirt worn have a collar, and not have any advertising or pictures of any kind on them. T-Shirts are not allowed. Blue, black or tan dress pants only.

No midriff baring shirts may be worn.

You cannot wear any open toed shoes. Tennis shoes and other types of shoes are okay, no holes please.

Hair should be neat and clean. No hats or caps should be worn in the stores.
